EQT Corporation, a leading American natural gas producer, announced on October 26, 2026, that it had agreed to acquire Range Resources in an approximately $13 billion all-stock transaction. The acquisition is expected to create America’s largest natural gas producer, with a combined enterprise value exceeding $50 billion.
The EQT Range Resources acquisition will combine two major Appalachian Basin producers, with expected natural gas production exceeding 9 billion cubic feet equivalent per day (Bcfe/d).
According to EQT’s official acquisition announcement, the transaction will expand EQT’s production assets, drilling inventory, infrastructure network, and natural gas marketing operations.
EQT expects to complete the acquisition in the first quarter of 2027, subject to regulatory approvals, shareholder votes, and other closing conditions.
EQT Range Resources Acquisition: Deal Value and Shareholder Terms
The EQT Range Resources deal value is approximately $13 billion in stock, while the combined company’s enterprise value, including debt, is expected to exceed $50 billion.
Under the EQT Range Resources deal terms, Range Resources shareholders will receive 0.987 shares of EQT common stock for each eligible Range Resources share they own.
The EQT all-stock deal will leave existing EQT shareholders with approximately 73% ownership of the combined business, while Range Resources shareholders will hold the remaining 27%.
Both companies’ boards unanimously approved the agreement, which they signed on October 25, 2026.
The EQT Range Resources acquisition details include the following operational and financial projections:
- Combined production: More than 9 Bcfe/d.
- Combined acreage: Nearly 3 million net acres.
- Drilling inventory: More than 30 years.
- Midstream infrastructure: More than 3,700 miles.
- Annual synergies: EQT expects $325 million in annual savings and other benefits within two years, with a longer-term pathway to more than $600 million annually.
EQT expects the initial benefits to come from corporate operations, operational efficiencies, and commodity marketing, with additional long-term benefits from drilling development and infrastructure optimization.
In the official acquisition announcement, EQT President and CEO Toby Z. Rice stated:
“This transaction brings together two of the highest-quality, longest-duration asset bases in North America”
Rice also highlighted EQT’s expanded resource base and opportunities for long-term natural gas supply arrangements.
How Range Resources Helped Develop the Marcellus Shale
Range Resources pioneered commercial Marcellus Shale production in 2004, when it successfully completed the Renz #1 well in Washington County, Pennsylvania, demonstrating the formation’s natural gas potential.
Advances in horizontal drilling and hydraulic fracturing subsequently expanded natural gas production throughout the Appalachian Basin.
EQT expanded its Appalachian operations by acquiring Tug Hill’s upstream assets and XcL Midstream in August 2023, followed by Equitrans Midstream in July 2024.
The latest Marcellus Shale consolidation will bring Range Resources’ drilling inventory and natural gas liquids assets together with EQT’s existing production and transportation operations.
EQT expects the acquisition to improve drilling coordination, infrastructure utilization, and natural gas marketing.
Why AI Data Center Power Demand Matters to EQT
Growing electricity demand from AI data centers is one of the factors influencing the US natural gas demand outlook, alongside industrial consumption and LNG exports.
AI data centers require continuous electricity to operate computing equipment, cooling systems, and supporting infrastructure.
Natural gas-fired power plants provide dispatchable electricity, allowing operators to adjust generation according to changing grid requirements.
The EQT natural gas strategy focuses on large-scale production, integrated infrastructure, and long-term supply arrangements with natural gas customers.
In its acquisition announcement, EQT identified growing Appalachian natural gas demand and expanded marketing capabilities as important opportunities.
The combined business is also expected to serve domestic natural gas markets and customers connected to liquefied natural gas (LNG) exports.
How the EQT Range Resources Acquisition Will Expand Appalachian Natural Gas Production
The EQT Range Resources acquisition will combine natural gas production and infrastructure assets across the Appalachian Basin. Range Resources operates natural gas and natural gas liquids assets concentrated in southwestern Pennsylvania.
EQT already operates an integrated production and midstream business following its acquisition of Equitrans Midstream in July 2024.
The combined business is expected to have more than 3,700 miles of midstream infrastructure, including facilities used to gather and transport natural gas.
EQT expects the acquisition to lower its cost structure and strengthen free cash flow generation through operational efficiencies and expanded natural gas marketing.
According to the company’s financial projections:
- Unlevered free cash flow breakeven: Below $2 per million British thermal units (MMBtu).
- Projected cumulative free cash flow: Approximately $20 billion over the next five years, based on recent natural gas futures strip pricing.
The breakeven measure represents the average Henry Hub natural gas price required for the combined business to generate positive unlevered free cash flow.
Both figures represent EQT’s financial projections rather than guaranteed results.
When Will the EQT Range Resources Acquisition Close?
The EQT Range Resources acquisition closing date is expected to fall in the first quarter of 2027, subject to regulatory clearances, shareholder approvals, and other customary conditions.
EQT’s existing executive management team will lead the combined business, with headquarters remaining in Canonsburg, Pennsylvania.
Range Resources President and CEO Dennis L. Degner and another Range representative will join EQT’s board of directors following completion.
The official SEC filing confirms the shareholder exchange terms, board arrangements, and approval requirements.
What Comes Next for the EQT Range Resources Acquisition?
EQT and Range Resources will seek the required shareholder and regulatory approvals ahead of the expected first-quarter 2027 closing.
Following completion, EQT plans to integrate Range Resources’ operations and pursue its projected annual savings of $325 million within two years.
The EQT Range Resources acquisition will mark a significant expansion of EQT’s Appalachian operations, with the company’s next focus on completing the transaction and implementing its announced operational plans.
