Shield AI has agreed to acquire radar manufacturer Echodyne in a transaction valued at $5.3 billion, adding counter-drone detection technology to its defense portfolio. Announced on November 5, 2026, the Shield AI Echodyne acquisition is supported by a $2.5 billion financing package, including a $1 billion Series H round that values Shield AI at $28.8 billion post-money.

The agreement expands Shield AI’s Mission Systems business with radar technology used in defense, government, and commercial security systems. The Echodyne radar acquisition is expected to close in early 2027, subject to regulatory approvals and customary closing conditions.

Shield AI Echodyne Acquisition Funding Breakdown

Shield AI will pay and issue $4.8 billion at closing, with up to another $500 million tied to Echodyne meeting agreed performance targets. The additional amount is contingent, rather than guaranteed.

Shield AI is raising $2.5 billion to support the transaction through three sources:

  • $1 billion Series H funding at a $28.8 billion post-money valuation.
  • $1 billion structured equity investment from funds managed by Blackstone.
  • $500 million in debt financing led by JPMorgan Chase Bank, N.A.

The Series H round is co-led by Disruptive and Innovation X Capital, with participation from several other investors. The financing marks a significant increase from Shield AI’s $12.7 billion post-money valuation in March 2026. The latest Shield AI valuation 2026 has more than doubled, rising from $12.7 billion in March to $28.8 billion following the Series H round. This valuation is separate from the $5.3 billion acquisition price.

How Echodyne’s MESA Radar Technology Supports Shield AI

Echodyne develops compact, solid-state radar systems using its patented Metamaterials Electronically Scanned Array (MESA) technology. The systems detect and track objects, including small unmanned aircraft, and are used in counter-unmanned aircraft systems (C-UAS).

Once the acquisition closes, Echodyne’s existing radar products and customer base will expand Shield AI counter-drone capabilities. According to Shield AI, Echodyne radars are already deployed in hundreds of counter-drone and security systems serving defense, government, and commercial customers in more than 40 countries.

Echodyne’s radars are integrated into remote weapon stations, high-energy lasers and high-power microwave systems. They can also cue interceptors toward incoming drones. Outside military applications, operators use the technology to protect airports and stadiums from unauthorized drones and help public safety teams operate drones safely in shared airspace.

Shield AI develops Hivemind, its autonomy software, alongside the V-BAT and X-BAT autonomous aircraft and Aechelon simulation technology for training and testing. The Shield AI Echodyne acquisition adds radar sensing to this portfolio.

Shield AI CEO Gary Steele described the strategic direction in the company’s announcement:

“We are building a new-generation defense technology company consisting of three fast-growing, high-margin, mutually supporting business units: autonomy software, autonomous systems, and mission systems.”

Why Shield AI Is Acquiring Echodyne

Echodyne brings an established counter-drone business to the acquisition. In September 2026, the company received a contract from Joint Interagency Task Force 401 with a $250 million ceiling to supply counter-drone radar to U.S. and allied forces. The ceiling represents the maximum contract value, not confirmation that the full amount has been awarded or paid.

Echodyne CEO Eben Frankenberg said customers use its radars to detect and track drones, protect infrastructure, secure borders and support safe airspace operations.

The Echodyne radar acquisition therefore adds an existing product business, manufacturing operations and customer relationships to Shield AI’s Mission Systems division.

Shield AI Radar Acquisition Adds Manufacturing Capacity

Echodyne is based in Kirkland, Washington, where it opened an 86,350-square-foot manufacturing facility in July 2026 following a $40 million investment. The facility has begun manufacturing operations and is expected to eventually produce more than 30,000 radars annually.

The Shield AI radar acquisition also expands the company’s presence in Washington. Echodyne’s manufacturing capacity will support its existing radar business, while its products and engineering capabilities become part of Shield AI’s broader portfolio.

What Happens After the Shield AI Echodyne Deal?

Echodyne’s team is expected to remain in place following the transaction. Frankenberg will continue to oversee the company’s products, manufacturing operations, and partner and customer engagement, reporting directly to Steele. Its MESA radars will remain available as standalone products after the acquisition closes.

The Shield AI Echodyne deal brings autonomy software, autonomous aircraft, simulation technology, and radar systems under one defense technology business. For Shield AI, the acquisition adds an established radar manufacturer and an existing counter-drone business to its Mission Systems division.

The Shield AI Echodyne acquisition is expected to close in early 2027, pending applicable regulatory approvals and other customary closing conditions.
