Schneider Electric PTC Acquisition: $20 Billion Industrial Software Deal

Schneider Electric is nearing a reported agreement to acquire U.S. software company PTC for about $20 billion, but the Schneider Electric PTC Acquisition was not confirmed as completed as of October 5, 2026. Discussions were still ongoing, and there was no certainty that they would result in an agreement.

What Is the Schneider Electric PTC Acquisition Worth?

The reported Schneider Electric PTC Acquisition is valued at about $20 billion, while PTC’s market value was approximately $15.63 billion at the time of the report. Schneider Electric and PTC had not publicly confirmed a definitive agreement when the deal was reported.

PTC, headquartered in Boston, provides software to design, manufacture, and service physical products. Its portfolio includes Creo for computer-aided design and Windchill for product lifecycle management.

PTC also completed the sale of its Kepware industrial connectivity and ThingWorx IoT businesses in March 2026. PTC said the divestiture would allow it to increase its focus on its Intelligent Product Lifecycle vision. The transaction generated $523 million in cash proceeds, with approximately $375 million of net after-tax proceeds allocated to share repurchases.

What Software Does PTC Make?

PTC’s software portfolio covers product design, product lifecycle management, manufacturing, and service, with Creo supporting computer-aided design and Windchill managing product data and processes across the product lifecycle.

PTC has also expanded its AI capabilities in 2026. PTC launched Windchill AI Assistant in April, adding a natural-language interface to its PLM platform for finding and working with product information. PTC has also introduced AI capabilities across Creo, Windchill, Codebeamer, ServiceMax, Onshape, and other products.

What Software Companies Are in Schneider Electric’s Portfolio?

Schneider Electric completed the acquisition of the entire share capital of AVEVA that it did not already own on January 18, 2023.

Schneider Electric also agreed in 2026 to acquire Cognite, an AI software and industrial data company. The Cognite transaction remains an acquisition agreement rather than a completed transaction in the company’s current investor materials. Schneider Electric said the proposed Cognite acquisition would strengthen its AI-native capabilities.

PTC focuses on product design and product lifecycle management, while Schneider Electric’s existing software portfolio includes AVEVA’s industrial software and Cognite’s industrial data and AI capabilities.

What Is Schneider Electric’s Industrial Automation Business?

Schneider Electric reported €21.2 billion in first-half 2026 revenue, with Industrial Automation gaining further momentum during the period. Schneider Electric said its H1 performance reflected demand across its Electrification, Automation, and Digital businesses.

Schneider Electric’s portfolio spans electrification, Industrial Automation, energy management, software, and digital solutions. The company also said its proposed Cognite and AiDASH acquisitions would strengthen its AI-native capabilities.

Is the Schneider Electric PTC Acquisition Confirmed?

No. The Schneider Electric PTC Acquisition was not confirmed as completed as of October 5, 2026. Discussions were still ongoing, and there was no certainty they would result in a final agreement.

PTC therefore remains an independent software company while the reported discussions continue. Any definitive agreement and final transaction terms would need confirmation from the companies.
